AI NPC Terms of Service

Last updated: October 3, 2026

These AI NPC Terms of Service (the “AI NPC Terms”) are a legally binding agreement between you and Soofte, Inc., doing business as Humalike (“Humalike”, “we”, “us”). They govern your use of the Humalike AI NPC service for game servers, including the AI NPC dashboard, NPC turns, plans and the free turns. Please read them carefully. By creating an account, claiming free turns, buying a plan or otherwise using the Service, you agree to these AI NPC Terms. If you do not agree, do not use the Service.

1. Scope and order of precedence

1.1 These AI NPC Terms apply to the Service described in section 3. They incorporate our general Terms of Service, our Privacy Policy and our Sub-Processors list by reference.

1.2 The general Terms of Service state that Humalike’s services are intended for business use only. That restriction does not apply to the Service: individuals may use the Service in accordance with these AI NPC Terms.

1.3 If these AI NPC Terms conflict with the general Terms of Service, these AI NPC Terms prevail for the Service.

2. Definitions

  • “Service” means the Humalike AI NPC service: the hosted systems that generate NPC conversation, voice, memory and behaviour for game servers, the AI NPC dashboard, and the related documentation and support.
  • “Resource” means the humalike server resource described in the installation guide, which connects a Server to the Service.
  • “Server” means a game server that you register in the dashboard.
  • “Player” means any person who joins or interacts with a Server.
  • “Turn” means the unit of usage of the Service, as defined in section 6.
  • “Plan” means a paid monthly subscription that adds a fixed number of Turns to your account.
  • “Free Turns” means the one-time allocation of Turns offered at no charge, described in section 7.
  • “Your Content” means the material you or your Players provide to the Service, including world and character descriptions, configuration, and Player speech and text.
  • “Output” means the content the Service generates, including NPC speech, text, audio and actions.
  • “Tebex” means Tebex Limited, which provides the checkout for Plans and Free Turns and is the reseller and merchant of record for purchases of Plans.
  • “Consumer” means an individual acting wholly or mainly outside their trade, business, craft or profession.

3. The Service

3.1 The Service lets you add AI-driven characters (“NPCs”) to your Servers. NPCs can talk with Players by voice and text, remember past interactions, react to events and perform in-game actions. Features, supported languages and integrations are described in our documentation and may change over time.

3.2 We may add, change or remove features, models, voices and integrations. If a change materially reduces the core functionality of a Plan you have paid for, we will tell you in advance where reasonably possible, and you may cancel under section 9.

3.3 Features we label as beta, preview or experimental are provided for evaluation, may be changed or withdrawn at any time and are excluded from any commitment in these AI NPC Terms.

4. Eligibility and your account

4.1 You must be at least 18 years old, or the age of legal majority where you live if higher, to create an account, claim Free Turns or buy a Plan. If you accept these AI NPC Terms on behalf of an organisation, you confirm that you are authorised to bind it, and “you” includes that organisation.

4.2 Purchases, and claims of Free Turns, are made with a platform account through Tebex. The Humalike account from which you start a purchase or claim receives the Turns. You must keep your account credentials secure, and you are responsible for all activity under your account and on your Servers.

4.3 You must provide accurate information and keep it up to date. You may not use the Service if you are barred from doing so under applicable law, including sanctions and export-control laws.

5. The Resource

5.1 The Resource is source-available software licensed under the PolyForm Shield License 1.0.0. Your use of the Resource’s source code is governed by that license. These AI NPC Terms govern your use of the Service.

5.2 The Resource works only with the Service. Running it does not entitle you to Turns, and we do not charge for the Resource itself.

6. Turns

6.1 What a Turn is. One Turn is consumed each time an NPC delivers a reply that Players hear or see, including a spoken reaction to a world event and a reply that was interrupted after it began to play. One reply addressed to several Players is one Turn. No Turn is consumed for: Players speaking to NPCs, short interjections, replies that were not delivered, and creating or editing worlds, characters and voices. If we change what consumes a Turn, we will give you at least 30 days’ notice, and the change will not apply to Turns already consumed.

6.2 Metering. Turns are counted by our systems. Your balance and usage history are shown in the dashboard. If you believe a Turn was counted in error, contact us within 30 days of the usage and we will review it in good faith and restore any Turns counted in error.

6.3 Validity. Turns added by a Plan remain valid for 12 months from the date they are added, and unused Turns carry over to later months within that period. Free Turns expire 7 days after they are added. Turns we grant you at no charge (for example as goodwill) are valid for the period we tell you when we grant them. Expired Turns are removed from your balance without compensation.

6.4 Order of use. Free Turns are used first, then any Turns we grant you at no charge (for example as goodwill), then Turns added by Plans, then Turns from any one-time purchase. Within each of these, the oldest Turns are used first.

6.5 Zero balance. When your balance reaches zero, NPCs on your Servers remain in the world, but they may stop replying until more Turns are added.

6.6 Nature of Turns. Turns are a limited, revocable right to use the Service. They are not currency, have no cash value, and cannot be sold, transferred between accounts, exchanged or redeemed for money, except where these AI NPC Terms or the law require a refund.

7. Free Turns

7.1 Free Turns are available once per person. One claim is allowed per Humalike account and per platform account. You claim them through a free Tebex checkout, started from the AI NPC dashboard. They require no payment details, do not renew and do not convert into a paid Plan.

7.2 Creating additional accounts or using any other method to claim Free Turns more than once is a breach of these AI NPC Terms. We may cancel any Free Turns obtained that way.

7.3 We may change or withdraw the Free Turns offer for future claims at any time.

8. Purchases, prices and tax

8.1 Plans are sold by Tebex as reseller and merchant of record. Tebex processes your payment and handles applicable taxes, and its checkout terms govern the payment transaction. Humalike provides the Service and is responsible for it.

8.2 Prices are shown in US dollars before you buy. They include the applicable VAT or sales tax unless the checkout shows otherwise. Your bank or card issuer may charge currency conversion fees.

8.3 To make sure the Turns reach your account, start every purchase from the AI NPC dashboard. If you buy directly from our Tebex store and your Turns do not appear, contact us with your Tebex transaction ID and we will add them to your account.

8.4 We may change Plan prices. A new price applies to an existing subscription only from a renewal at least 30 days after we notify you. If you do not accept it, you may cancel before that renewal.

9. Subscriptions, renewal and cancellation

9.1 A Plan is a monthly subscription. It renews automatically each month from the date of purchase, and the price is charged through Tebex, until you cancel. Each successful payment adds that Plan’s monthly Turns to your account.

9.2 You can cancel at any time using the “Manage Subscription” link in your Tebex receipt email or from your Tebex payment history. Cancellation takes effect at the end of the current billing period, and no further payments are taken after it. Turns you already have remain valid for their period under section 6.3.

9.3 To change Plan, contact us and we will arrange the switch. Only one Plan can be active on an account at a time.

9.4 If a renewal payment fails, Tebex may retry it. The subscription ends if payment is not completed. Turns already added are not affected.

10. Refunds and your right of withdrawal

10.1 Immediate delivery. Turns are digital content supplied as soon as your payment is confirmed. If you are a Consumer in the European Union, the European Economic Area or the United Kingdom, you have a 14-day right to withdraw from a distance contract. Tebex sells the Plans as merchant of record, so the withdrawal right is handled under Tebex’s checkout terms, which you accept before you pay. Where that checkout obtains your prior express consent to immediate supply of the Turns and your acknowledgement that you then lose the right of withdrawal, and supply has begun, the right of withdrawal no longer applies. Otherwise, you keep it for 14 days from your purchase.

10.2 Except as set out in this section or required by law, payments are non-refundable. We will refund a payment in full if:

  • the Turns you paid for were not added to your account and we cannot add them; or
  • a fault on our side prevented you from using the Service for a substantial part of the paid period and we did not fix it within a reasonable time.

10.3 Forgotten renewals. If a renewal was charged that you did not intend, and none of the Turns it added have been used, you may request a refund of that renewal within 7 days of the charge. We will then remove those Turns and cancel the subscription.

10.4 To request a refund, contact us under section 24 with your Tebex transaction ID. Approved refunds are paid by Tebex to the original payment method. Refunded Turns are removed from your balance.

10.5 Please contact us before disputing a charge with your bank. If a payment is reversed or charged back, we may remove the related Turns, and we may suspend the account while the dispute is open. Nothing in this section affects your statutory rights as a Consumer.

11. Your responsibilities as a server owner

You are responsible for your Servers and for how the Service is used on them. In particular, you must:

  • comply with all applicable laws, platform license agreements and other third-party terms that apply to your Server;
  • tell your Players, before they use it, that NPCs on your Server are AI, and that what they say near an NPC (voice and text) is sent to Humalike and its sub-processors to produce replies. Give them a privacy notice that covers this;
  • establish a lawful basis for this processing and obtain any consent the law requires. You must restrict access to eligible adult Players and comply with applicable provider eligibility requirements;
  • configure your NPCs, worlds and characters appropriately for your Players. Do not direct the Service to produce content prohibited by section 12;
  • act promptly on reports about harmful Output on your Server, and tell us about serious incidents; and
  • keep the Resource up to date and your Server’s connection details secure.

12. Acceptable use

You must not, and must not allow anyone else to, use the Service to:

  • break any law or infringe anyone’s rights, including intellectual property, privacy and publicity rights;
  • create, request or distribute sexual content involving minors in any form, or sexual content directed at any Player under 18;
  • harass, threaten, bully, defame or abuse any person, or promote hatred or violence against people based on a protected characteristic;
  • impersonate a real person, or create characters or voices that imitate a real person’s identity or voice without their permission, or deceive Players into thinking an NPC is a human;
  • promote or give instructions for terrorism, self-harm, weapons capable of mass harm or other serious crime;
  • collect Players’ personal data through NPCs beyond what gameplay needs, or disclose anyone’s private information;
  • interfere with, overload, probe or bypass the Service’s security, metering or usage limits, or access it other than through the Resource or interfaces we provide;
  • resell, sublicense or share Turns, or provide the Service to third parties as your own service;
  • use the Service or its Output to develop, train or improve a competing product or AI model; or
  • reverse engineer the Service, except to the extent the law allows despite this restriction.

We may investigate suspected breaches. We may remove or block content, disable NPCs or Servers, and take the steps in section 16.

13. AI Output

13.1 Output is generated automatically by AI models. It may be inaccurate, incomplete, inconsistent, unexpected or offensive, and it can be similar to Output generated for others. We use safeguards to reduce harmful Output but cannot guarantee that none will occur.

13.2 Output is for entertainment in a game. It is not professional, medical, legal, financial or safety advice. It must not be relied on for any real-world decision or emergency.

13.3 You and your Players retain your respective rights in Your Content. As between you and us, we assign to you any rights we have in the Output generated for your Servers. You grant us a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display Your Content and Output as needed to provide, secure and support the Service. You are responsible for having the rights needed to provide Your Content.

14. Personal data

14.1 Your data. We are the controller of your account, purchase, consent and usage data, and we process it as described in our Privacy Policy. Tebex processes your payment data as an independent controller under its own privacy policy.

14.2 Player data. When Players interact with NPCs on your Servers, we process voice audio, transcripts, game-character identifiers, conversation history and textual game context to generate NPC replies and actions. We store NPC memory, including inferred relationships, and model-call records. Players are the data subjects; processing includes collection, transmission, storage, retrieval, inference and deletion for the duration of service provision and applicable deletion handling. For that processing you are the controller and we act as your processor, and this section 14 is the agreement between us for it. We will:

  • process Player personal data only to provide the Service to your Servers, on your documented instructions (these AI NPC Terms and your configuration), unless the law requires otherwise, in which case we will tell you unless the law prohibits it;
  • ensure that anyone authorised to process it is bound by confidentiality, and apply the security measures described in our Privacy Policy;
  • use only the sub-processors listed on our Sub-Processors page, bind them to equivalent data protection obligations, and announce changes to that list there before they take effect, so that you can object;
  • transfer it outside the EEA or the UK only with the safeguards described in our Privacy Policy;
  • help you, as far as we reasonably can, to respond to Players exercising their rights, to keep the data secure and to handle personal data breaches, and tell you without undue delay after becoming aware of a breach affecting it;
  • at your choice, return or delete it when the Service to you ends, and delete existing copies unless applicable law requires retention; help with earlier verified erasure requests, including identifying shared memory, provider-held copies and backup handling;
  • make available the information needed to demonstrate these obligations, and allow and contribute to audits and inspections by you or your mandated auditor, subject to reasonable advance notice and confidentiality and security arrangements that protect other customers and our systems, without limiting mandatory rights under applicable law;
  • assist with data protection impact assessments and supervisory-authority consultation where required, taking account of the processing and information available to us; and
  • inform you if, in our opinion, an instruction infringes applicable data protection law.

14.3 We may also use Player data as a controller, only to keep the Service secure, prevent abuse and meet our legal obligations, as described in our Privacy Policy.

14.4 Do not configure NPCs to request special categories of personal data or submit such data unnecessarily. You must comply with the applicable Player eligibility restrictions in section 11; incidental gameplay is not an exception to those restrictions.

14.5 The Privacy Policy describes the applicable retention periods and handling of deletion requests. A verified Player-erasure request may require clearing shared NPC memory where data cannot be separated reliably, and temporarily suspending the server’s NPC service while that request is handled. Deleting one application record does not establish that provider copies or backups have also been removed. We will identify relevant residual data and handling requirements; statutory rights and our processing obligations still apply.

14.6 Your Content and Output are used for inference and NPC memory. This is distinct from training a general-purpose model. Provider security monitoring, retention and model-use conditions differ. Applicable retention, processing locations and policy-enforcement uses are described in the Privacy Policy and provider list.

15. Third-party services and trademarks

15.1 The Service depends on third-party platforms and services, including game platforms, Tebex and AI model providers. Their availability and terms are outside our control. Your direct use of third-party services is governed by their terms. This does not remove our obligations for sub-processors we engage under section 14.

15.2 Humalike is not approved, sponsored or endorsed by, or affiliated with, the third-party game or platform providers. Third-party trademarks belong to their respective owners.

16. Availability, support, suspension and termination

16.1 We aim to keep the Service available, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance, which can cause interruptions. Support is provided on a reasonable-efforts basis through our Discord and by email.

16.2 We may suspend or restrict the Service for an account or Server, with notice where practicable, if:

  • you breach these AI NPC Terms;
  • your use creates a security, legal or operational risk for us, for others or for the Service; or
  • a payment is reversed or charged back.

We will lift a suspension once the reason for it has been resolved. We may terminate your access for a serious or repeated breach. Termination for breach does not entitle you to a refund of unused Turns, except where the law requires one.

16.3 You may stop using the Service and close your account at any time. Closing your account forfeits any remaining Turns, and you should cancel any active Plan in Tebex first.

16.4 If we discontinue the Service, we will give you at least 30 days’ notice. We will also refund the unused paid Turns from payments made in the 3 months before the end of the Service, in proportion to the Turns left unused.

16.5 Sections 6.6, 10.5, 12, 13, 15 and 17 to 24, and any accrued rights to payment or refund, survive the end of these AI NPC Terms.

17. Intellectual property and feedback

17.1 Apart from the rights expressly granted in these AI NPC Terms and in the Resource’s license, Humalike and its licensors keep all rights in the Service, the dashboard, our models, prompts, voices and documentation, and in the Humalike name and logos.

17.2 If you send us feedback or suggestions, we may use them without restriction or compensation.

18. Warranties and disclaimers

18.1 We will provide the Service with reasonable care and skill. If you are a Consumer, you have statutory rights, including that digital content and services must be as described, fit for purpose and of satisfactory quality, and nothing in these AI NPC Terms limits them.

18.2 To the maximum extent permitted by law, and except as stated in section 18.1, the Service, the Resource and all Output are provided “as is” and “as available”. We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement and accuracy.

19. Limitation of liability

19.1 Nothing in these AI NPC Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that cannot be limited or excluded by law.

19.2 Subject to section 19.1, we are not liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, business, goodwill, Players or data. If you are a Consumer, we are also not liable for losses that were not reasonably foreseeable, or for business losses.

19.3 Subject to section 19.1, our total liability arising out of or in connection with the Service and these AI NPC Terms is limited to the greater of (a) the amounts you paid for the Service in the 12 months before the event giving rise to the claim, and (b) US$100.

20. Indemnity

If you use the Service for business purposes, you will defend and indemnify Humalike and its officers, employees and affiliates against third-party claims, and the resulting losses, damages and reasonable legal costs, that arise from Your Content, your Servers, or your breach of sections 11 or 12. This section does not apply to Consumers.

21. Changes to these AI NPC Terms

We may update these AI NPC Terms from time to time. We will notify you of material changes by email or in the dashboard at least 30 days before they take effect, unless the change is required sooner by law or to address a security or misuse risk. If you do not agree to a change, you may cancel your Plan before it takes effect, and the current terms will apply until the end of your paid period. If you continue to use the Service after a change takes effect, you accept the updated terms.

22. Governing law and disputes

22.1 These AI NPC Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The courts located in Delaware have exclusive jurisdiction, except as set out in section 22.2.

22.2 If you are a Consumer, you also keep the protection of the mandatory laws of the country where you live, and you may bring proceedings in the courts of that country.

22.3 Before starting any formal proceedings, please contact us so that we can try to resolve the matter informally within 30 days.

23. General

23.1 These AI NPC Terms, together with the documents referred to in section 1, are the entire agreement between you and us about the Service.

23.2 If any provision is held invalid or unenforceable, the rest remain in effect. If we do not enforce a right, we have not waived it.

23.3 You may not transfer your rights or obligations under these AI NPC Terms without our consent. We may transfer ours to an affiliate or to a successor to our business, provided this does not reduce your rights.

23.4 We are not responsible for delays or failures caused by events beyond our reasonable control, including failures of third-party platforms, networks or AI providers.

23.5 These AI NPC Terms are written in English. If we provide a translation and it differs from the English version, the English version prevails, to the extent the law allows.

24. Contact
